Terms of Service

These Terms of Service ("Terms") govern access to and use of the Zooko platform, including the website located at zooko.io, the application located at app.zooko.io, and any related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. About Zooko
Zooko is a software platform that provides online booking and lead-management tools for healthcare and allied health clinics.
Zooko does not provide healthcare services, medical advice, diagnosis, or treatment. Zooko is not a clinic, medical provider, or booking agent.
Zooko currently operates as an unincorporated software project.
2. User Types
There are two types of users on the Platform:
- Clinic Users – businesses or practitioners who use Zooko's software to manage bookings and leads.
- Patient Users – individuals who use Zooko to request or book appointments with clinics.
Different terms apply to different user types, as described below.
3. Additional Terms
Your use of the Platform may also be subject to additional terms, including:
- Clinic Terms – applying to Clinic Users
- Patient Booking Terms – applying to Patient Users
- Privacy Policy
- Medical & Platform Disclaimer
In the event of any inconsistency, the applicable additional terms prevail.
4. Zooko's Role
Zooko's role is strictly limited to providing software.
Zooko:
- Does not control clinic availability, pricing, or services
- Does not guarantee appointments
- Does not act as an agent or representative of any clinic
- Is not a party to any appointment, treatment, or agreement between a clinic and a patient
All healthcare services are provided solely by clinics, not by Zooko.
5. Accounts & Access
Some parts of the Platform require account creation.
You agree to:
- Provide accurate information
- Keep login credentials secure
- Notify Zooko of unauthorised access
Zooko may suspend or terminate access if these Terms are breached.
6. Acceptable Use
You must not:
- Misuse the Platform
- Interfere with system integrity or security
- Attempt to access data not belonging to you
- Reverse-engineer or scrape the Platform
- Use the Platform for unlawful or misleading purposes
7. Intellectual Property
All intellectual property in the Platform, including software, branding, and content, belongs to Zooko or its licensors.
You are granted a limited, non-exclusive, revocable licence to use the Platform in accordance with these Terms.
8. Disclaimers
The Platform is provided "as is" and "as available."
Zooko makes no warranties regarding:
- Availability or uptime
- Accuracy of bookings
- Third-party systems (including clinic PMS software)
Use of the Platform is at your own risk.
9. Limitation of Liability
To the maximum extent permitted by law:
- Zooko is not liable for indirect, incidental, special, or consequential losses
- Zooko is not liable for medical outcomes, missed appointments, or clinic actions
- Zooko's total liability is limited to the greater of $0 or any fees paid to Zooko in the preceding 12 months
10. Indemnity
You agree to indemnify and hold harmless Zooko from any claims, losses, damages, or expenses arising from:
- Your use of the Platform
- Your breach of these Terms
- Any appointment, service, or interaction between clinics and patients
11. Name Clarification
Zooko is an independent software platform and is not affiliated with any other product, service, or fictional character with a similar name, including "Zuko".
12. Changes to These Terms
Zooko may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of Australia, without regard to conflict of law principles.
